Terms and Conditions for RadioMate Automation

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the RadioMate Automation software, application, website, or services (collectively, the "Service") operated by RadioMate Automation ("us", "we", "our").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access or use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using RadioMate Automation, you represent and warrant that you are at least 18 years old (or the legal age of majority in your jurisdiction) and possess the legal authority to enter into a binding agreement on behalf of yourself or the entity you represent.
2. Description of Service
RadioMate Automation provides software tools designed to automate, schedule, manage, and optimize radio broadcast workflows, audio processing, playlist scheduling, and stream management.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without prior notice, though reasonable effort will be made to notify active subscribers of material changes.
3. Accounts and Registration
Account Security: You are responsible for safeguarding the credentials used to access the Service and for any activities or actions under your account.
Accuracy: You agree to provide accurate, complete, and current registration information and to update your details promptly if they change.
Unauthorized Use: You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
4. Subscriptions, Fees, and Payments
Billing: Access to certain features of the Service requires a paid subscription. Payments will be billed on a recurring basis (monthly or annually) depending on your selected plan.
Renewals: Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.
Refunds: All fees are non-refundable except as required by law or as explicitly stated in a separate written agreement.
Price Changes: We reserve the right to adjust subscription pricing. Any price changes will take effect at the start of the next billing cycle following notice to you.
5. Acceptable Use and Restrictions
You agree not to use the Service to:
Broadcast, stream, or distribute content that violates third-party copyrights, trademarks, or intellectual property rights.
Transmit illegal, threatening, defamatory, harassing, or harmful audio, text, or data.
Attempt to reverse engineer, decompile, disassemble, or derive the source code of any software powering the Service.
Interfere with or disrupt the integrity or performance of the Service, servers, or networks connected to RadioMate Automation.
Resell, sublicense, or redistribute the Service to third parties without our express written consent.
6. Content Ownership and Licensing
Your Content: You retain full ownership and intellectual property rights over any audio files, playlists, schedules, or media uploaded to or processed through the Service ("User Content").
Licensing to Us: By uploading or processing User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, run, and stream such content solely to the extent necessary to fulfill and operate the Service for you.
Licensing Responsibilities: You are solely responsible for acquiring and maintaining all necessary performance rights, copyright licenses (e.g., ASCAP, BMI, SESAC, SoundExchange, or local equivalents), and broadcasting permits required for your station's audio output.
7. Intellectual Property Rights
The Service and its original content (excluding User Content), features, branding, and functionality are and will remain the exclusive property of RadioMate Automation and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.
8. Third-Party Services and Integrations
RadioMate Automation may integrate with third-party software, cloud storage providers, or streaming platforms. We do not control and are not responsible for the availability, privacy policies, or practices of any third-party services. Your use of third-party tools is governed by their respective terms.
9. System Availability and Uptime
While we strive to provide reliable and uninterrupted service, we do not guarantee that the Service will be error-free, uninterrupted, or fully secure at all times. Planned maintenance, emergency updates, or infrastructure failures may temporarily cause service disruptions.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall RadioMate Automation, its affiliates, directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, broadcast airtime, goodwill, or other intangible losses, resulting from:
Your access to or inability to access or use the Service.
Any unauthorized access to or use of our servers and/or personal/financial information stored therein.
Interruptions, stream drops, or technical failures in automated broadcasting.
Our total liability for any claims under these Terms shall not exceed the amount paid by you to RadioMate Automation in the twelve (12) months preceding the event giving rise to liability.
11. Indemnification
You agree to defend, indemnify, and hold harmless RadioMate Automation and its licensee and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or debt (including attorney's fees) arising from:
Your use of and access to the Service.
Your violation of any provision of these Terms.
Your violation of any third-party right, including copyright, trademark, or privacy rights related to audio streamed via our Service.
12. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting support.
13. Governing Law
These Terms shall be governed and construed in accordance with the laws of Florida, U.S.A., without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located within Orange County, Florida, U.S.A.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
